New shareholding structure for Alstom South Africa

As part of this agreement, Alstom will sell
the remaining 8.1% stake it held in ASA to a consortium (*) led
by Actis, a private equity fund. At the same time, Alstom will
increase its service offering in the region by acquiring (subject
to due diligence) Alstom Power Service Pty Ltd (APS), presently a
wholly owned subsidiary of ASA. Located in Johannesburg, APS
employs 60 people and is a leader in the service, repair, and
upgrade of turbines and generators in South Africa. In addition,
Alstom will cooperate with another ASA subsidiary, Alstom John
Thompson (AJT), in serving the maintenance, upgrade, and retrofit
market for larger boilers and environmental equipment.

Alstom has had a presence in South Africa for
more than a century and today, close to 80% of the country's of
the electricity is produced by Alstom equipment. In 2007 and
early in 2008, Alstom signed with Eskom the Medupi and Bravo
power plant contracts. Alstom has committed major resources to
the development of local skills, particularly in engineering, to
support the South African governments black empowerment
objectives.

(*) The consortium consists of Actis, Old
Mutual Private Equity, existing Black Empowerment investors and
management.
